CONTRAT DE RÉFÉRENCEMENT

Radioline (ci-après « Radioline »)

Le fournisseur de contenu (ci-après « Fournisseur de Contenu »)

D’AUTRE PART

Radioline et le Fournisseur de Contenu étant ci-après collectivement désignés comme les « Parties » et individuellement comme une « Partie ». 

PRÉAMBULE 
Radioline est notamment le créateur et gestionnaire d’une base de données (ci-après « Base ») référençant du contenu qui a pour vocation d’être mis à disposition d’éditeurs de services.

Le Fournisseur de Contenu souhaite que Baracoda procède au référencement de son contenu (ci-après « Contenu ») afin que les éditeurs puissent y accéder et éventuellement en faire usage, notamment mais sans limitation, dans le cadre de leurs services. 

Le présent contrat de référencement (ci-après « Contrat ») a pour objet de définir les termes selon lesquels Radioline se propose de procéder au référencement du Contenu sur la Base. 

Les Parties conviennent que leurs relations seront exclusivement régies par le Contrat à l’exclusion de tout accord qu’elles auraient pu antérieurement conclure.

ARTICLE 1 : DÉFINITIONS
Pour les besoins du Contrat, les termes suivants sont définis comme suit : 
1.1 Radioline : Société S.A. à conseil d’administration, au capital de 463 179 euros, immatriculée au RCS de Paris sous le numéro 498 698 919 00012, dont le siège social est situé au 36, rue de Turin, 75008, dûment représentée par son Directeur Général Matthieu DELPORTE et contractant avec le Fournisseur de Contenu selon les termes du Contrat. 
1.2 Base : Base de données créée et gérée par Radioline et stockant du contenu. La Base est l’entière propriété de Radioline.
1.3 Contenu : Désigne du contenu aussi bien que toute information le concernant. 
1.4 Contrat de référencement : Contrat entre le fournisseur de contenu et Radioline qui a pour objet de définir les termes selon lesquels s’effectue le référencement du contenu. Les termes du contrat de référencement, disponibles en ligne à l’URL http://www.baracoda.com/ 
exchange/legal/2011/12/1112-e-Contrat-FR.pdf, sont effectifs à compter du commencement du contrat. Le contrat de référencement est également disponible sur demande par l’envoi d’un courriel à registration@baracodamedia.com. 
1.5 Commencement du contrat : Date de réception par le fournisseur de contenu du courriel envoyé par Radioline confirmant le commencement du contrat une fois les termes de celui-ci acceptés en ligne par le fournisseur de contenu en cochant la case appropriée. 
1.6 Fournisseur de Contenu : Partie dûment représentée par la personne ayant accepté les termes du Contrat et contractant avec Radioline selon les termes du Contrat. 
1.7 Interface de référencement : Interface telle que spécifiée à l’Annexe 3 du contrat de référencement. L’accès à l’interface de référencement et son utilisation supposent l’acceptation des conditions générales d’utilisation disponibles à partir du lien présent sur l’interface de référencement et sur demande par l’envoi d’un courriel à registration@baracodamedia.com. 
1.8 Ouvré : Du lundi au vendredi de 9h à 18h hors jour férié national. 
1.9 Référencement : Toute entrée de la Base qui comprend un nom de contenu et au moins l’une des URL de flux audio de ce contenu.
1.10 Service : Désigne tout logiciel et/ou appareil de l’éditeur permettant aux utilisateurs d’accéder à tout ou partie du contenu référencé sur la Base. 

ARTICLE 2 : OBJET DU CONTRAT 
Le Contrat a pour objet de déterminer les termes selon lesquels Radioline va procéder au référencement du Contenu sur la Base. 

ARTICLE 3 : PÉRIMETRE DU CONTRAT
3.1 Radioline est habilité à procéder au référencement du Contenu sur la Base.
3.2 Radioline est habilité à mettre à disposition des éditeurs l’ensemble du Contenu référencé sur la Base en vue d’une éventuelle utilisation, notamment mais sans limitation, dans le cadre de leurs services. 
3.3 Radioline se réserve le droit d’autoriser les éditeurs à procéder à la diffusion de messages publicitaires à l’occasion de la diffusion du Contenu par le biais de leurs services.

ARTICLE 4 : OBLIGATIONS
4.1 OBLIGATIONS DU FOURNISSEUR DE CONTENU
4.1(a) Le Fournisseur de Contenu s’engage à faire ses meilleurs efforts pour répondre au mieux aux obligations lui incombant selon les points 4.1(b), 4.1(c), 4.1(d), 4.1(e), 4.1(f) et 4.1(g) du Contrat. 
4.1(b) Le Fournisseur de Contenu s’engage à fournir à Radioline l’ensemble du Contenu tel que spécifié à l’Annexe 1 du Contrat dans un délai maximum d’1 (un) mois suivant le commencement du Contrat et ce par le biais de l’interface de référencement telle que définie à l’Annexe 3 du Contrat.
4.1(c) Le Fournisseur de Contenu s’engage à informer Radioline de toute modification affectant le Contenu référencé dans un délai minimum de 3 (trois) jours ouvrés précédant la modification. Toute notification de modification devra se faire par l’intermédiaire de l’interface de référencement telle que spécifiée à l’Annexe 3 du Contrat. 
4.1(d) Le Fournisseur de Contenu s’engage à assurer une disponibilité maximale de la totalité du Contenu référencé.
4.1(e) Le Fournisseur de Contenu s’engage à informer dans les meilleurs délais, Radioline, de tout événement, incluant mais sans limitation toute opération de maintenance, susceptible d’affecter de quelque façon que ce soit la disponibilité du Contenu référencé (ci-après « Evénement »). Toute notification faisant état d’un Evénement devra se faire par l’envoi d’un courriel avec accusé de réception à l’adresse registration@baracoda.com. Dans le cas ou l’Evénement serait planifié en avance, celui-ci devra être notifié par le Fournisseur de Contenu à Radioline par l’envoi d’un courriel avec accusé de réception à l’adresse registration@baracoda.com dans un délai maximum de 3 (trois) jours ouvrés précédant l’Evénement. 
4.1(f) Le Fournisseur de Contenu s’engage à tenir Radioline informé dans les meilleurs délais de toute indisponibilité totale ou partielle du Contenu référencé. En outre, Radioline se réserve le droit de faire état d’une telle indisponibilité auprès du Fournisseur de Contenu par l’envoi d’un courriel avec accusé de réception. Après envoi du courriel faisant état de l’indisponibilité, le Fournisseur de Contenu disposera d’un délai d’1 (une) heure ouvrée pour en accuser réception et d’un délai supplémentaire d’1 (une) heure ouvrée pour remédier à l’indisponibilité. La notification sera envoyée au responsable technique désigné par le Fournisseur de Contenu lors de son référencement par le biais de l’interface de référencement.
4.1(g) Le Fournisseur de Contenu garantit que l’accès à l’interface de référencement ne sera donné qu’aux seules personnes dûment habilitées à effectuer l’ensemble des opérations effectuables à partir de l’interface de référencement et à consulter/faire usage de l’ensemble des informations accessibles à partir de l’interface de référencement. 
4.2 OBLIGATIONS DE RADIOLINE
4.2(a) Radioline s’engage à référencer le Contenu sur la Base sous réserve d’avoir obtenu du Fournisseur de Contenu toutes les informations nécessaires à ce référencement. 
4.2(b) Radioline s’engage à traiter toute modification du Contenu référencé notifiée par le Fournisseur de Contenu dans un délai maximum de 5 (cinq) jours ouvrés.
4.2(c) Radioline s’engage à faire ses meilleurs efforts pour s’assurer que l’accès à l’interface de référencement ne soit donné qu’aux seules personnes dûment habilitées à effectuer l’ensemble des opérations effectuables à partir de l’interface de référencement et à consulter/faire usage de l’ensemble des informations accessibles à partir de l’interface de référencement.
4.3 OBLIGATION DES PARTIES
Les Parties reconnaissent que la bonne exécution des obligations nées du Contrat repose essentiellement sur leur coopération mutuelle de bonne foi. En conséquence, chacune des Parties s’engage, en toutes circonstances, à coopérer de la façon la plus efficace possible avec l’autre Partie et, notamment pour toute difficulté d’exécution du présent Contrat à rechercher, de bonne foi, les solutions conformes aux intérêts réciproques des Parties.

ARTICLE 5 : RESPONSABILITÉ DES PARTIES
5.1(a) Le Fournisseur de Contenu assume seul toute responsabilité quant au Contenu, sa disponibilité et diffusion et garantit Radioline contre tout recours à ce titre. 
5.1(b) Le Fournisseur de Contenu garantit que le Contenu ne porte atteinte à aucun droit des tiers et qu’il est en conformité avec les dispositions légales en vigueur.
5.1(c) Le Fournisseur de Contenu garantit qu’il a reçut toutes les autorisations préalables nécessaires à l’exploitation du Contenu telle que spécifiée dans le Contrat ainsi qu’à la conclusion et bonne exécution du Contrat.
5.1(d) Radioline ne peut en aucun cas garantir la mise à disposition et disponibilité du Contenu par le biais des services. 
5.1(e) Radioline n’intervenant à aucun moment dans le processus de diffusion du Contenu par le biais des services, sa responsabilité quant à la qualité de cette diffusion ne saurait être engagée d’aucune façon.
5.1(f) Si, malgré 4.2(c) du Contrat, les services, informations et Contenus disponibles à partir de l’interface de référencement sont utilisés et consultés par des personnes non dûment habilitées à le faire, la responsabilité de Radioline quant aux conséquences quelles qu’elles soient qui pourraient découler de cet usage et consultation ne saura être engagée d’aucune façon. 

ARTICLE 6 : DURÉE ET TERRITOIRE
6.1 Le Contrat entrera en vigueur à compter de la date de commencement du Contrat, et ce pour une période initiale incompressible de 24 (vingt-quatre) mois. Une fois la période initiale écoulée, le Contrat restera en vigueur jusqu’à sa résiliation par l’une ou l’autre des Parties selon les modalités décrites à l’Article 7 du Contrat.
6.2 Le Contrat est applicable sur l’ensemble des territoires à partir desquels sont accessibles tout ou partie des services. 

ARTICLE 7 : SUSPENSION DU RÉFÉRENCEMENT ET RÉSILIATION 
7.1 SUSPENSION DU RÉFÉRENCEMENT DU CONTENU PAR RADIOLINE
En cas de manquement de la part du Fournisseur de Contenu à l’une quelconque de ses obligations prévues au Contrat ou bien à une disposition légale en vigueur, Radioline se réserve le droit de suspendre le référencement du Contenu. La suspension du référencement ne prendra éventuellement fin qu’après réception par Radioline d’une lettre recommandée avec accusé de réception envoyée par le Fournisseur de Contenu faisant état d’une mise en conformité aux dispositions contractuelles et/ou légales. Après 3 (trois) mois à compter de la date de début de suspension du référencement sans la réception d’une telle lettre, Radioline pourra de plein droit et sans formalité quelle qu’elle soit procéder à la résiliation du Contrat. 
7.2 RÉSILIATION
7.2(a) Au terme de la période initiale telle que spécifiée à l’Article 6 du Contrat, l’une ou l’autre des Parties pourra de plein droit procéder à la résiliation du Contrat avec un préavis de 3 (trois) mois notifié à l’autre Partie par lettre recommandée avec accusé de réception.
7.2(b) En cas d’inexécution par l’une des Parties de l’une quelconque de ses obligations prévues au Contrat et à défaut pour cette Partie d'y remédier dans un délai de 30 (trente) jours à compter de l'envoi d'une lettre recommandée avec accusé de réception de mise en demeure, la Partie victime du manquement pourra de plein droit et sans formalité quelle qu'elle soit résilier le Contrat. 
7.2(c) En cas de survenance d’un évènement de force majeure tel que défini par les tribunaux français, la Partie subissant cet évènement pourra suspendre l’exécution de ses obligations sous réserve d’en avoir informé l’autre Partie dès la survenance de l’évènement en lui indiquant la durée prévisible de ses effets et d’avoir mis en œuvre toutes les mesures permettant de les limiter. Les obligations corrélatives de l’autre Partie seront également suspendues. Dans l’hypothèse où les effets de l’évènement de force majeure se prolongeraient pour une durée supérieure à 15 (quinze) jours et/ou dans l’hypothèse où les effets de l’évènement et leur durée compromettraient de façon irrémédiable la poursuite de l’exécution du Contrat par la Partie subissant l'évènement, l’autre Partie pourra de plein droit, sur simple notification envoyé par courrier recommandé avec accusé de réception, procéder à la résiliation du Contrat. 

ARTICLE 8 : CONFIDENTIALITÉ
8.1 Chaque partie conservera confidentielles les informations, de quelque nature que ce soit, écrites ou orales, qui lui auront été transmises par l’autre Partie ou qu’elle aurait pu apprendre au cours de l’exécution du Contrat concernant l’autre Partie (ci-après les « Informations Confidentielles »).
8.2 Les parties s’engagent à prendre toutes les mesures nécessaires envers leur personnel et les personnes travaillant pour leur compte pour que ceux-ci traitent les Informations Confidentielles selon les termes énoncés en 8.1, et se portent fort du respect de la présente obligation de confidentialité par ceux-ci. Les obligations des Parties au titre du présent article s’étendent pendant toute la durée du Contrat et pour une durée de 5 (cinq) ans à compter de son expiration qu’elle qu’en soit la cause.

ARTICLE 9 : DROITS DE PROPRIÉTÉ INTELLECTUELLE
9.1 Le Contrat ne confère au Fournisseur de Contenu aucun droit sur tout ou partie des éléments de la Base. Seul Radioline a les droits d’accès et d’écriture sur la Base. 
9.2 Les Parties ainsi que les éditeurs ayant accès au Contenu référencé sur la Base sont habilitées, dans le cadre du Contrat, à reproduire, sur quelque support que ce soit et dans le monde entier, tout signe distinctif et logo appartenant à chacune des Parties.

ARTICLE 10 : COMMUNICATION
10.1 Les Parties sont habilitées, dans le cadre du Contrat, à faire état du partenariat intervenu entre elles.
10.2 Tout communiqué de presse relatif au partenariat mentionné en 10.1 devra être validé par les Parties préalablement à toute publication.

ARTICLE 11 : TRANSFERT
11.1 Sauf cas mentionnés en 11.2, le Contrat ne pourra être cédé, transféré ou transmis par l’une des Parties, à qui que ce soit et à quelque titre que ce soit, soit directement ou indirectement, totalement ou partiellement, à titre onéreux ou gratuit, sans l’accord préalable écrit de l’autre Partie. 
11.2 Radioline est habilité à transférer le Contrat sans l’accord préalable du Fournisseur de Contenu dans les cas suivants :
(i) Transfert des droits et obligations de Radioline à toute société de son groupe
(ii) Transfert des droits et obligations de Radioline à une société à laquelle il est fait un apport de son activité, dans le cadre d’un apport partiel d’actif, d’une scission ou d’une fusion 

ARTICLE 12 : NOTIFICATION/INFORMATION 
12.1 Toute lettre recommandée avec accusé de réception doit être envoyée aux adresses suivantes :
(i) Pour le Fournisseur de Contenu : adresse postale telle que spécifiée au moment du référencement par le biais de l’interface de référencement 
(ii) Pour Radioline : 36, rue de Turin, 75008 Paris, France 
12.2 Toute notification qui ne requiert pas expressément l’envoi d’une lettre recommandée avec accusé de réception peut être envoyée par courriel avec accusé de réception aux adresses suivantes :
(i) Pour le Fournisseur de Contenu : adresses email telles que spécifiées au moment du référencement par le biais de l’interface de référencement 
(ii) Pour RADIOLINE : registration@baracodamedia.com 
12.3 Les Parties s’engagent à s’informer, dans les meilleurs délais et dans les conditions spécifiées en 12.1 et 12.2, de tout événement de nature à avoir une quelconque conséquence que ce soit sur la bonne exécution du Contrat. 

ARTICLE 13 : NULLITÉ
Si une ou plusieurs stipulations du Contrat sont tenues pour non valides ou déclarées telles en application d’une Loi, d’un règlement ou à la suite de la décision définitive d’une juridiction compétente, les autres stipulations garderont toute leur force et leur portée.

ARTICLE 14 : MODIFICATION DES TERMES DU CONTRAT
Sous réserve de dispositions contraires prévues par le Contrat, celui-ci ne pourra être modifié que par accord écrit des Parties sous forme d’un avenant au Contrat. 

ARTICLE 15 : LANGUE DU CONTRAT
Le Contrat est rédigé en langue française. Une traduction en langue anglaise pourra éventuellement être mise à disposition des fournisseurs de contenu à l’URL http://www.baracoda.com/exchange/legal/2011/12/1112-e-Contract-EN.pdf. Néanmoins, en cas de difficulté ou de divergence d'interprétation, la version française prévaudra et sera considérée comme la seule version liant les Parties.

ARTICLE 16 : LOI APPLICABLE & ATTRIBUTION DE COMPÉTENCE
16.1 Le Contrat est régi par le droit français.
16.2 Tout litige susceptible de survenir entre les Parties concernant entre autres, la validité, l’interprétation, l’exécution ou la résiliation du Contrat, sera de la compétence des tribunaux de Paris.

ANNEXE 2 : STRUCTURE FICHIER METADONNÉES XML

Spécifications du fichier XML auquel Radioline doit avoir accès pour intégrer les métadonnées du Fournisseur de Contenu à la plateforme Phoenix :

INTRODUCTION
Les métadonnées ont pour fonction de renseigner les utilisateurs, en temps réel, sur les phonogrammes qui sont joués. 
Le Fournisseur de Contenu doit créer un fichier XML qui respecte la structure décrite ci-dessous et contient l’ensemble des informations demandées. 
Le fichier doit être actualisé en permanence au moment du passage d’un contenu à l’autre ou éventuellement quelques secondes précédant la transition. 
Le fichier doit être accessible de la plateforme via le web (http).
A chaque actualisation, la plateforme recharge le fichier (depuis un seul client) et met à jour les métadonnées associées au contenu de la radio. 
Le moment de l’actualisation est calculé en fonction de l’heure de début du phonogramme et sa durée.

<timeZone> : le fuseau horaire de la radio, dans lequel la date contenu dans le champs <start> est donné. C’est une chaîne qui doit être tirée de la liste disponible à l’URL suivante : http://www.fileformat.info/system/timezone.htm. Si ce champ est manquant, vide ou rempli avec une valeur fausse, le fuseau horaire par défaut sera « Europe/Paris ». 
<url> : le site Internet de la radio
<start> : la date et heure de début du phonogramme dans le format suivant : « dd/MM/aaaa HH:mm:ss » (système horaire de vingt-quatre heures impératif), et selon le fuseau horaire donné dans le champ <timeZone>.
<duration> : la durée du phonogramme en secondes 
<title> : le titre du phonogramme
<artist> : l’artiste interprète du phonogramme
<album> : le titre de l’album duquel est tiré le phonogramme
<cover>: un lien (URL) vers la pochette de l’album, taille 160x160pixels si possible
<music> : ce champ précise la nature du Contenu

N.B : 
	Comme le stipulent les specifications du standard XML, le fichier doit contenir une entête, qui précise la version du standard utilisé, ainsi que l'encodage utilisé dans le fichier.

	Pour éviter les erreurs de parsing de caractères spéciaux, il est conseillé d'utiliser des sections CDATA :

Radioline and the Content Provider hereafter individually referred to as a « Party » and collectively as the « Parties », acting separately, 

RECITALS

WHEREAS, Radioline is the creator, owner and manager of a database (hereafter called the “Database”) whose content is made available to online and mobile Service publishers;

WHEREAS, the Content Provider would like to register their content (hereafter called the “Content”) into the Database to allow the Content to be accessed by online and mobile Service publishers who may use it and make it available, including but without limitation, within their online and mobile Services;

WHEREAS, Radioline and the Content Provider would like to enter into a Content Database Registration Agreement (hereafter called the “Agreement”) that will supersede all prior contracts, agreements and negotiations between them whether written or oral relative to the project prior to the Commencement Date of the Agreement;

NOW THEREFORE, in consideration of the premises herein contained, Radioline and the Content Provider agree as follows:

1.DEFINITIONS
1.1 Radioline: means the company whose registered office is 36, rue de Turin, 75008 Paris, France, registered with the Paris Registry of Commerce and Companies under the number 498 698 919 00012, with a share capital of 463.179 euros, duly represented by its Managing Director Matthieu DELPORTE and entering into a Content Database Registration Agreement with the Content Provider. 
1.2 Database: means the content/content related information database created and managed by Radioline. Radioline is the exclusive Database owner. 
1.3 Content: includes content as well as all content related information. 
1.4 Content Database Registration Agreement: means the agreement between Radioline and a content provider which sets the terms of its content database registration. The Content Database Registration Agreement terms, available online at http://www.baracoda.com/ exchange/legal/2011/12/1112-e-Contract-EN.pdf, are effective from the Commencement Date of the Agreement. The Content Database Registration Agreement is also available upon email request to registration@baracodamedia.com. 
1.5 Commencement Date: means the receipt date of the email sent by Radioline to the Content Provider confirming that the Content Database Registration Agreement terms are effective. The confirmation send-off requires prior online acceptance of the Content Database Registration Agreement terms by the Content Provider by ticking the appropriate box. 
1.6 Content Provider: means the party entering into a Content Database Registration Agreement with Radioline and duly represented by the person who accepted online the terms of the Content Database Registration Agreement by ticking the appropriate box. 
1.7 Content Registration Interface: means the Interface as specified in Annex 3 of the Agreement. The Interface access and use require full acceptance of the Content Registration Interface TOU which can be accessed via the Interface or upon request to registration@baracodamedia.com. 
1.8 Working time: means any time from Monday to Friday 9am CET to 6pm CET excluding bank holiday.
1.9 Content Database Registration: means any Database entry which contains a content name and at least one streaming URL of that content. 
1.10 Service: means any software and/or device of the publisher enabling users to access all or part of the content registered on the Database. 

2.OBJECT OF AGREEMENT
The Agreement is to set the terms of the Content Database Registration by Radioline. 

3.GRANT OF LICENCE
3.1 The Content Provider grants Radioline the non-exclusive right to register the Content into the Database.
3.2 Radioline is entitled to give publishers access to the registered Content so they may use it and make it available, including but without limitation, within their online and mobile Services. 
3.3 Radioline reserves the right to authorise publishers to insert advertising prior to, during and after registered Content streaming. 

4 OBLIGATIONS
4.1 CONTENT PROVIDER OBLIGATIONS
4.1(a) The Content Provider will use their best efforts to comply with the obligations as described in 4.1(b), 4.1(c), 4.1(d), 4.1(e), 4.1(f) and 4.1(g) of the Agreement.
4.1(b) The Content Provider must deliver to Radioline the Content as specified in Annex 1 of the Agreement within 1 (one) month from the Commencement Date of the Agreement and via the Content Registration Interface as specified in Annex 3 of the Agreement.
4.1(c) The Content Provider will inform Radioline of any change affecting the registered Content no later than 3 (three) working days prior to such change occurring. All change notifications must be sent to Radioline through the Content Registration Interface as specified in Annex 3 of the Agreement.
4.1(d) The Content Provider must ensure that the Content is fully and permanently available for streaming.
4.1(e) The Content Provider will report as soon as possible to Radioline any event, including but without limitation, any maintenance work, that may potentially affect in any way the Content streaming availability (hereafter called the “Event”). All Event notifications will be sent by email with a delivery receipt to registration@baracoda.com. Should any Event be planned in advance, the Event notification regarding such planned Event must be sent to registration@baracoda.com no later than 3 (three) days prior to such planned Event occurring. 
4.1(f) The Content Provider will report as soon as possible to Radioline any unavailability of all or part of the Content. In addition, Radioline may notify the Content Provider of any such unavailability by email with delivery receipt. The Content Provider must confirm receipt of such email within 1 (one) working hour after the email was sent and must resolve the unavailability within 1 (one) working hour after the receipt was confirmed. The unavailability notification will be sent by Radioline to the technical contact designated by the Content Provider or, in the event that no such contact was designated, to any other contact for which Radioline has the contact details. 
4.1(g) The Content Provider warrants that access to the Content Registration Interface will only be given to persons duly authorised to execute all actions executable from the Interface and to access/make use of the information available from the Interface. 
4.2 RADIOLINE OBLIGATIONS
4.2(a) Provided the Content Registration process was fully completed, Radioline will register the Content into the Database. 
4.2(b) Any registered Content change notification sent by the Content Provider will be dealt with by Radioline within 5 (five) working days from receipt of such notification. 
4.2 (c) Radioline will use their best efforts to ensure that access to the Content Registration Interface shall only be given to persons duly authorised to execute all actions executable from the Interface and to access/make use of the information available from the Interface.
4.3.GOOD FAITH
The Parties warrant that they will act and co-operate in good faith in all matters relating to the
fulfilment of the Agreement obligations. It requires, but without limitation, that each Party is active and constructive in establishing and maintaining a productive relationship, is responsive and communicative and does not do anything likely to mislead or deceive the other Party.

5 LIABILITIES
5.1(a) The Content Provider is solely responsible for the Content and its communication. 
5.1(b) The Content Provider warrants that the Content does not infringe any third party copyright nor violate any other law, including but not limited to trademark, patent, privacy, or breach any other agreement or licence. 
5.1(c) The Content Provider warrants that it has obtained all necessary permissions to grant the rights described in clause 3 of the Agreement and to comply with all its obligations under the Agreement.
5.1(d) Radioline cannot and does not bring any guarantee as to whether the Content will be made available for streaming on any specific Service. 
5.1(e) Radioline, who does not play any role in relation to Content streaming, cannot therefore be held responsible for any streaming quality related issue. 
5.1(f) In the event that, despites 4.2(c) of the Agreement, the Content Registration Interface services and information are disposed of by unauthorised persons, Radioline disclaims any liability for any direct or indirect damage caused by or related to the unauthorised access.

6. TERM AND TERRITORY
6.1 The Agreement shall commence on the Commencement Date for an initial period of 24 (twenty-four) months. At the end of the 24 (twenty-four) month initial period, the Agreement shall remain effective till it is terminated by one Party or another in accordance with the termination process as specified in clause 7 of the Agreement.
6.2 The Agreement terms apply to all territories from which a Service or part of a Service can be accessed. 


7. SUSPENSION AND TERMINATION
7.1 CONTENT REGISTRATION SUSPENSION
In the event of a breach of any applicable law by the Content Provider or a failure to comply with any of its obligations under the Agreement, Radioline reserves the right to proceed to Content Registration suspension. The Content Registration suspension will remain effective until Radioline receives a registered letter with recorded delivery from the Content Provider stating that all breaches having originated the suspension were remedied. After 3 (three) months from the suspension commencement date without having received such letter, Radioline reserves the right to terminate the Agreement without any further notice. 
7.2 CONTENT REGISTRATION AGREEMENT TERMINATION
7.2(a) At the end of the initial period as specified in clause 6 of the Agreement, any Party may terminate the Agreement by giving not less than three month written notice to the other Party by registered letter with recorded delivery. 
7.2(b) In the event that a Party fails to comply with any of its obligations under the Agreement and fails to remedy such breach(es) within 30 (thirty) days from receipt of a formal notice sent by registered letter with recorded delivery, the injured Party will be entitled to terminate the Agreement without any further notice.
7.2(c) Neither Party shall be deemed to be in breach of this Agreement, or otherwise liable to the other, by reason of any delay in performance or non-performance of any of its obligations under this Agreement to the extent that such delay or non-performance is due to any cause beyond its reasonable control including without limitation any form of Government intervention, act of God, fire, flood, war, civil unrest, strikes, lock outs. The affected Party will inform the other Party without any delay of the kind of Force Majeure occurrence as well as of its estimated duration. 

8.CONFIDENTIALITY
8.1 All confidential information shall be treated by each Party as secret and confidential and, except as provided in this Agreement, neither Party shall disclose any of the confidential information to any person other than individuals who strictly need to know the same for the purposes of complying with this Agreement. Each Party shall only use the confidential information for the purposes of complying with the terms of this Agreement and not use it for any purpose and shall impose upon each person to whom confidential information is to be made available obligations of confidentiality equivalent to those contained in this clause 8.
8.2 The provisions of clause 8 of the Agreement shall survive for 5 (five) years from the termination date of the Agreement howsoever caused. 

9.INTELLECTUAL PROPERTY RIGHTS
9.1 The Agreement does not grant any database or intellectual property rights to the Content Provider. The Database remains the property of Radioline. 
9.2 The Parties and publishers accessing the Content are granted the right to reproduce each Party’s logos and distinctive signs for the duration of the Agreement provided such reproduction was made to comply with the terms of the Agreement or to communicate on and promote the Parties content database registration partnership.

10.COMMUNICATION AND PROMOTION
10.1 The Parties are entitled, for the whole duration of the Agreement, to communicate on and promote their content database registration partnership. 
10.2 Any press release relating to the content database registration partnership mentioned in 10.1 must be fully validated in writing by both Parties prior to publication. 


11.TRANSFER/ASSIGNEMENT
11.1 The Agreement shall not be assignable or transferable unless otherwise stated in 11.2 of the Agreement. 
11.2 Radioline is entitled to transfer the Agreement without prior Content Provider consent in the following cases:
(i)  Transfer of Radioline rights and obligations to a company of their Group
(ii) Transfer of Radioline rights and obligations to a company to which was made partial business transfer on the occasion of a merger or demerger

12.NOTICE/NOTIFICATION/COMMUNICATION
12.1 Any registered letter with recorded delivery must be sent to the following addresses:
(i) Letter sent to the Content Provider: postal address as specified when creating a Content Registration account via the Content Registration Interface 
(ii) Letter sent to Radioline: 36, rue de Turin, 75008 Paris, France 
12.2 Any notification which does not explicitly require to be sent by registered letter with recorded delivery can be sent by email with recorded delivery to the following addresses:
(i) Email sent to the Content Provider: email address as specified when creating a Content Registration account via the Content Registration Interface 
(ii) Email sent to Radioline: registration@baracodamedia.com
12.3 Each Party warrants that they will instantly communicate to the other Party any information that may potentially impact in any way on the execution of the Agreement. Any such communication should follow the process described in 12.1 and/or 12.2 of the Agreement.

13.SEVERABILITY
If any term or provision of the Agreement is held to be invalid or illegal, such term or provision will not affect the validity or enforceability of the remaining terms and provisions of the Agreement.

14.AMENDMENTS 
No agreements, modifications, or waivers to the Agreement will be valid unless in writing and signed by the Authorized Representatives of the Parties.

15.AGREEMENT/ARBITRATION LANGAGE 
15.1 The Agreement is written in French. Should any dispute arises out of or in connection with the English translation of the Agreement (available online at: http://www.baracoda.com/ exchange/legal/2011/12/1112-e-Contract-EN.pdf, the original French version of the Agreement (available online at: http://www.baracoda.com/exchange/legal/2011/12/1112-e-Contrat-FR.pdf) will be taken as unique authoritative reference.
15.2 The language to be used in the arbitral proceedings or any other proceedings in connection with the Agreement will be French. 

16.APPLICABLE LAW AND JURISDICTION 
16.1 The Agreement will be governed by the laws of France
16.2 The French Courts shall have exclusive jurisdiction to settle any claim or dispute which might arise out of or in connection with any term or provision of the Agreement.

ANNEX 2 : XML FILE STRUCTURE

OVERVIEW
This document is to give XML file specifications that a radio should follow to create the file that will enable the integration of their musical metadata to the Phoenix platform.

INTRODUCTION
The radios supported by the Phoenix platform have the opportunity to enrich their content with metadata that indicate, in real time, what’s on air.
To benefit from enriched content display on the Services, the radios are asked to create a XML file as specified below.
The file has to be refreshed constantly prior to or during the transition period between two contents (track, advertisement…).
The file must be accessible via the web (http) to the platform. At every refresh, the platform reloads it (through a unique client) and updates the associated metadata. The refresh time calculation is based on the track start time and duration.

The XML file delivered by the radio must have the following structure:

THE XML FILE FIELDS
<name> : the radio name.
<timeZone> : the radio time zone which sets the time and date contained in the <start> field. The string must be picked from the following: http://www.fileformat.info/system/timezone.htm. If the field is missing, empty or filled in with a wrong value, the default time zone taken is « Europe/Paris ».
<url> : the radio website. 
<start> : the track start time must be in the following format : “dd/MM/yyyy HH:mm:ss” (24h notation for the time), and in accordance with the time zone given in the <timeZone> field.
<duration> : the track duration in seconds.
<title> : the track title.
<artist> : the artist name.
<album> : the album name.
<cover>: the album cover URL (with a minimum cover size of 160x160 pixels). 
<music> : content type as follows:

	An XML header must be included, as per standard requirements, and must specify the XML version number and character encodings.
